Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your use of Nexlyr ProcureSuite (“the Service”), operated by Nexlyr Solutions Ltd (“we”, “us”, “our”), a company registered in England and Wales (Company No. 17062750).

By accessing or using ProcureSuite, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

2. The Service

ProcureSuite is a procurement savings management platform that helps organisations track, validate, and prove savings claims. The Service includes dashboards, workflow tools, analytics, and reporting features.

3. Accounts and Access

• You must provide accurate information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorised access
• One person or organisation may not maintain more than one free account

4. Subscriptions and Payment

• ProcureSuite offers a 30-day free pilot period
• Paid subscriptions are billed monthly or annually as selected
• Prices are exclusive of VAT where applicable
• You may cancel at any time; access continues until the end of the billing period
• We reserve the right to change pricing with 30 days' notice

5. Your Data

You retain ownership of all data you upload to ProcureSuite. We do not claim any intellectual property rights over your business data. We process your data solely to provide the Service, as described in our Privacy Policy.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorised access to other accounts or systems
• Interfere with or disrupt the Service
• Reverse-engineer, decompile, or attempt to extract the source code
• Resell or redistribute the Service without our written consent

7. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by circumstances beyond our reasonable control.

8. Limitation of Liability

To the maximum extent permitted by law, Nexlyr Solutions Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the Service. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Termination

Either party may terminate the agreement at any time. Upon termination, we will retain your data for 90 days, after which it will be permanently deleted. You may request a data export before deletion.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email. Continued use of ProcureSuite after changes constitutes acceptance of the revised Terms.
